These Terms of Service ("Terms") constitute a legally binding agreement between you andEngine Hub Limited (" AIEngineering," "we," "our," or "us") governing your access to and use of our AI agent platform and related services (collectively, the "Services").

By accessing, using, or registering for our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are entering into these Terms on behalf of a company or organization, you represent that you have the authority to bind such entity to these Terms.

2. Enterprise Service Description

AIEngineering provides enterprise-grade AI agent services designed to automate workflows, enhance customer experiences, and drive business growth through intelligent automation:

We reserve the right to modify, enhance, or discontinue any aspect of our Services with appropriate notice to enterprise customers as outlined in your service agreement.

3. Enterprise Account Management

Enterprise access to our Services requires account registration and ongoing management:

  • Provide accurate, complete, and current business information
  • Designate authorized administrators and users within your organization
  • Maintain valid billing and contact information
  • Comply with enterprise authentication and security requirements

3.2 Account Security

  • Implement multi-factor authentication for all administrative accounts
  • Maintain confidentiality of login credentials and API keys
  • Monitor and audit user access within your organization
  • Immediately report any unauthorized access or security incidents
  • Ensure compliance with your organization's security policies

4. AI Content and Enterprise Usage

Our AI systems generate content and insights based on your enterprise data and requests. Understanding the capabilities and limitations is crucial for enterprise deployment:

4.1 AI-Generated Content

  • AI outputs are generated based on training data and may not always be accurate or complete
  • Enterprise customers are responsible for validating AI-generated content before business use
  • AI models are continuously improved but may reflect biases present in training data
  • Content generation is subject to rate limits and usage quotas per your service tier

4.2 Enterprise Usage Guidelines

  • Use AI services in compliance with applicable laws and industry regulations
  • Implement appropriate human oversight for business-critical AI decisions
  • Respect intellectual property rights when using AI for content creation
  • Maintain data quality and accuracy in inputs to ensure optimal AI performance

Enterprise AI Governance

We recommend establishing internal AI governance policies that align with your organization's risk management, compliance, and ethical guidelines for AI usage.

5. Acceptable Use Policy

To maintain service quality and security for all enterprise customers, the following activities are prohibited:

6. Intellectual Property Rights

Intellectual property rights are clearly defined to protect both AIEngineering and our enterprise customers:

6.1 AIEngineering Intellectual Property

The Services, including all software, algorithms, user interfaces, and documentation, are proprietary to AIEngineering and protected by intellectual property laws. Enterprise customers receive a limited license to use the Services as specified in their service agreement.

6.2 Customer Data and Content

You retain ownership of all data, content, and materials you provide to our Services ("Customer Data"). By using our Services, you grant AIEngineering a limited license to process Customer Data solely for the purpose of providing Services to you.

  • Data processing is limited to service delivery and improvement (with consent)
  • You can request data export or deletion at any time
  • We implement appropriate technical and organizational measures to protect your data

6.3 AI-Generated Content Rights

Subject to these Terms and applicable law, you may use AI-generated content for your business purposes. However, we cannot guarantee that such content does not infringe third-party rights, and you are responsible for ensuring compliance with applicable laws.

8. Disclaimers and Limitations

While we strive to provide enterprise-grade services, certain limitations and disclaimers apply:

8.1 Service Disclaimers

Our Services are provided "as is" and "as available." While we implement enterprise-grade security and reliability measures, we cannot guarantee that the Services will be uninterrupted, error-free, or completely secure.

8.2 AI Technology Limitations

AI technology has inherent limitations. We do not warrant that AI-generated content will be accurate, complete, or suitable for your specific business purposes. Enterprise customers should implement appropriate validation and oversight processes.

Limitation of Liability

To the maximum extent permitted by law, AIEngineering's total liability for any claims arising from or relating to the Services shall not exceed the amount paid by you for the Services during the twelve (12) months preceding the claim.

9. Data Protection and Privacy

Data protection is fundamental to our enterprise services. We comply with applicable data protection regulations including GDPR, CCPA, and other international privacy laws.

10. Subscription and Billing

Enterprise services are provided on a subscription basis with the following terms:

10.1 Subscription Terms

  • Enterprise agreements may include custom pricing and payment terms
  • All fees are non-refundable except as expressly provided in your service agreement

10.2 Payment and Taxes

  • Payment is due according to the terms specified in your invoice
  • Late payments may result in service suspension after appropriate notice
  • You are responsible for all applicable taxes, duties, and government fees
  • Price changes will be communicated with at least 30 days' notice

11. Termination

Either party may terminate the service relationship under the following conditions:

11.1 Termination by Customer

  • You may terminate your subscription at any time with appropriate notice
  • Termination does not relieve you of payment obligations for services already provided
  • We will assist with data export during a reasonable transition period

11.2 Termination by AIEngineering

  • We may terminate services for material breach of these Terms
  • We provide reasonable notice and opportunity to cure for most violations
  • Immediate termination may occur for security threats or illegal activities

11.3 Effect of Termination

  • Access to Services will cease upon termination
  • Customer Data will be made available for export for 30 days post-termination
  • Confidentiality obligations survive termination
  • Accrued payment obligations remain due and payable

12. Indemnification

Both parties agree to certain indemnification obligations to protect against third-party claims:

12.1 AIEngineering Indemnification

We will defend and indemnify you against third-party claims that our Services infringe a valid patent, copyright, or trademark, subject to standard indemnification conditions and limitations.

12.2 Customer Indemnification

You will defend and indemnify us against third-party claims arising from your use of the Services in violation of these Terms, applicable law, or third-party rights.

13. Dispute Resolution

We are committed to resolving disputes efficiently and fairly:

13.1 Informal Resolution

Before initiating formal proceedings, both parties agree to attempt good faith negotiations to resolve any disputes.

13.2 Binding Arbitration

Disputes that cannot be resolved informally will be settled through binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association.

13.3 Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles.

14. General Provisions

14.1 Entire Agreement

These Terms, together with your Enterprise Service Agreement and Privacy Policy, constitute the entire agreement between the parties.

14.2 Modifications

We may update these Terms from time to time. Material changes will be communicated to enterprise customers with at least 30 days' advance notice.

14.3 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

14.4 Assignment

You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
